Describe one holding. You see whether it counts as overseas direct investment, whether this year's annual report is owed, what should already have been filed, and how to fix each gap.
Your firm — remembered on this device
Unlisted foreign shares are overseas direct investment (ODI) at any stake; a listed company becomes ODI at 10% or with control. Anything else is portfolio investment, with no RBI filings.
No annual report is owed if you hold under 10%, without control, and nothing besides shares — or if the company is being wound up. One widely read guide limits the exemption to listed companies; the Regulation's proviso has no such word.
A missed filing is fixed with RBI's late fee within three years of its due date. After that, or for a holding that isn't permitted, it needs compounding (application fee ₹10,000 plus GST); RBI sets the amount.
No annual report is due for an incomplete year when you sell out completely. A sale is reported within 30 days of receiving the money.
