Tick the years your company hasn't filed. You get your position, the exact dates, the boards you lose and a note your CA or CS can sign.
The 3-year rule (s.164(2)). If a company hasn't filed its accounts or its annual return for three financial years in a row, everyone who is or was its director can't be re-appointed there, or appointed anywhere else, for five years from the day it fails.
When a year counts. The AGM is due by 30 Sep; accounts (AOC-4) 30 days later, 30 Oct; the annual return (MGT-7) 60 days later, 29 Nov. FY 2020-21 got two extra months (accounts 30 Dec 2021, return 29 Jan 2022). A year counts as unfiled from the day after its due date, so the third miss lands on 31 Oct (or 30 Nov) of the third year.
Your other boards (s.167(1)(a)). On that day your seat on every other company falls vacant — except the company in default itself, and any other company that is itself in default.
New directors. A director appointed to a company already in default gets six months' grace from appointment. We also show a contested grace for someone who joined within six months before the default.
Your DIN. Rule 11 of the Companies (Appointment and Qualification of Directors) Rules, 2014 lists when a DIN can be deactivated; disqualification isn't one of them. The Delhi and Calcutta High Courts have ordered DINs restored.
Contested points are listed under "things to check" with the reading we used, and in the printed note.
